These terms and conditions (“Terms”) are a legally binding agreement between you, the user of the Website (“User”), and Anuda Realty Pvt. Ltd, a company registered under Companies Act, 2013, with its principal place of business located at F-37,38 Govindam Tower, Kardhani, Kalwar Road, Jaipur, Rajasthan 302012 (“Company”), governing your use of the website www.anudarealty.com (“Website”) and its associated proprietary applications (CRM & Anuda HRM).
Customer Booking
The User may book services offered by the Company through the Website, subject to availability. The User agrees to provide accurate and complete information when making a booking, including without limitation all information requested on the booking form.
Anuda Partner (Franchise) Program
Use of this Website and associated ecosystem by authorized Franchise Partners is governed by the following:
Relationship: The Partner acts as an independent contractor on a "Principal-to-Principal" basis. Nothing in these Terms or the Website usage shall be construed as creating a partnership, agency, or employment relationship between the Partner and the Company.
Tech Ecosystem Usage: Partners are granted a limited, revocable license to use the CRM (for lead management) and Anuda HRM (for staff tracking) exclusively for Anuda business purposes. Unauthorized sharing of login credentials or data from these platforms is strictly prohibited.
"Sales Yours, Execution Ours": Partners acknowledge that their role via the platform is limited to sales, marketing, and business development. The Company retains full control and liability for project execution, material procurement, and engineering.
RERA Compliance: Partners using the platform to book real estate projects must possess and maintain a valid RERA Agent Registration as per state laws.
Intellectual Property: All designs, 2D/3D maps, VR content, and software logic accessed through the portal remain the sole intellectual property of Anuda Realty.
Payment
The User will be required to make payment for services booked through the Website, either through online payment methods or alternative payment arrangements as agreed with the Company. In the event of non-payment, the Company reserves the right to cancel the User's booking without liability.
For Partners: Commission payouts are processed within 5 business days of the Company receiving and verifying the client's payment, on a pro-rata basis, strictly in accordance with the signed Master Franchise Agreement.
Vendor Tracking
Vendors may keep track of the total construction material received by the Company through the Website. The Company agrees to pay the vendor for materials received, as per the agreed payment terms.
Termination
The Company reserves the right, in its sole discretion, to terminate the User's or Partner's access to the Website or any part thereof, at any time, with or without notice. Specific to Partners: Access to CRM/HRM tools will be revoked immediately upon termination of the Franchise Agreement due to breach, fraud, or reputational damage to the 'Anuda' brand.
Limitation of Liability
The Company shall not be liable for any loss or damage, including without limitation indirect or consequential loss or damage, arising from the use of the Website or the services provided through it. The Company is not liable for any false promises made by Partners to customers outside the scope of the official service agreement.
Confidentiality
The User, the Company, Partners, and its vendors agree to maintain the confidentiality of all information exchanged through the Website, including without limitation all information marked confidential or proprietary. Partners specifically agree not to disclose pricing strategies, client databases, or technical manuals to competitors.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Jaipur, Rajasthan, India, without giving effect to any principles of conflicts of law.
Dispute Resolution
Any dispute arising from or related to these Terms or the User's use of the Website shall be resolved through binding arbitration in accordance with the laws of Jaipur, Rajasthan, India.
Changes to Terms
The Company reserves the right, at its sole discretion, to modify these Terms at any time. The User's continued use of the Website following any such modification constitutes acceptance of the modified Terms.
By accessing and using the Website, the User and Partner agree to be bound by these Terms.
